Terms of Service

1. Agreement to Terms

By accessing or using the Fynora platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all users of the platform, including financial advisors ("Advisors") and their clients ("Clients").

2. Description of Service

Fynora provides a secure practice management platform for financial advisors, including tools for document collection, client communication, invoicing, and practice administration. The Service is offered on a subscription basis to Advisors; Client access is provided at no charge as part of an Advisor's account.

3. Eligibility

• You must be at least 18 years old to use the Service.
• Advisors represent that they hold any licences or registrations required by law to provide financial advice in their jurisdiction.
• You must provide accurate, complete information when creating an account and keep it up to date.

4. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at help@fynora.app if you suspect unauthorised access.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, with reasonable notice where practicable.

5. Subscriptions and Billing

Plans and pricing

Advisor accounts are available on Starter, Growth, and Enterprise subscription plans, billed monthly or annually. Pricing is displayed on the platform and may be updated with 30 days' notice.

Free trial

New Advisor accounts receive a 30-day free trial from the date of registration. No payment is required during the trial. At the end of the trial, continued access requires an active subscription.

Payment

Payments are processed by Stripe. By subscribing you authorise Stripe to charge your nominated payment method on a recurring basis. All fees are quoted in USD unless stated otherwise and are non-refundable except as required by law or as set out in our refund policy.

Cancellation

You may cancel your subscription at any time through the billing portal. Access continues until the end of the current billing period. No partial refunds are issued for unused periods.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Upload content that is illegal, harmful, defamatory, or infringes third-party rights
• Attempt to gain unauthorised access to any part of the Service or its underlying systems
• Reverse-engineer, decompile, or disassemble any component of the Service
• Use automated tools to scrape, crawl, or extract data from the Service without our written consent
• Transmit malware, viruses, or other malicious code
• Impersonate any person or entity

7. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of all data and documents you upload to the Service. By uploading content, you grant Fynora a limited licence to store, process, and transmit that content solely to provide the Service to you.

Messages and documents exchanged through the platform are protected by end-to-end encryption. Fynora cannot access the content of encrypted communications.

8. Intellectual Property

All rights in the Fynora platform — including software, design, trademarks, and documentation — are owned by Fynora or its licensors. These Terms do not grant you any ownership interest in the Service.

You may not use our name, logo, or trademarks without prior written permission.

9. Third-Party Services

The Service integrates with third-party providers including Stripe (payments), Supabase (infrastructure), and Resend (email). Your use of these integrations is subject to the respective providers' terms and policies. Fynora is not responsible for the acts or omissions of third-party providers.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.

Fynora is a practice management tool, not a financial adviser. Nothing in the Service constitutes financial, legal, tax, or investment advice. Advisors are solely responsible for the advice they provide to their clients.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Fynora and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the amounts paid by you to Fynora in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Fynora and its affiliates from any claims, losses, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

13. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or if we cease to offer the Service.

On termination, your right to access the Service ends. You may request an export of your data within 30 days of termination; thereafter we may delete it in accordance with our data retention policy.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Australia, without regard to conflict of law principles.
